Mergers and Acquisitions and Executive Compensation Associate General Counsel

Key Role:

Serve as a key member of internal teams within Booz Allen Hamilton’s legal department. Handle a variety of corporate legal matters for the firm, with a principal focus on advising the firm on M&A and other strategic transactions over the full transaction life cycle, including pipeline, deal negotiation and execution, post-closing integration, and disputes. Advise the firm on executive compensation matters, including equity compensation. Support the team’s efforts in preparing for quarterly compensation committee meetings and other general corporate matters from time to time. Work closely with the firm’s business units and other internal professionals, including corporate development and executive compensation teams. Work with and manage outside counsel to execute on engagements in a cost-effective manner.

Basic Qualifications:

-7+ years of experience with legal M&A, equity investments, JVs, and other strategic transactions over the full transaction life cycle

-Experience in a top-tier law firm and in-house expertise in a legal department of an acquisitive public or large private company

-Experience with advising on public or large private company executive compensation issues

-Experience with client management

-Ability to work within a collaborative environment, execute day-to-day activities autonomously, and use superior judgment in issue spotting and escalation

-Ability to become a trusted partner and advisor to business teams and senior management

-JD degree required

Additional Qualifications:

-Experience with representing clients in the federal sector preferred

-Experience with integrating legal theory into business practice

-Ability to identify and resolve issues

-Ability to balance legal risk and business risk

-Possession of excellent oral and written communication skills

-Possession of excellent organizational and analytical skills

-CPA License a plus
