M&A Counsel

Key Role:

Serve as a key member of Booz Allen’s Legal team, advising on complex M&A, joint ventures, and other strategic transactions.  Partner with Corporate Development, business, and other internal teams in connection with diligence, negotiation, and integration activities across a variety of transactions.  Collaborate closely with Corporate Development team to evaluate and structure transactions from a legal perspective and support the coordination and management of deal processes, including extensive interaction with other teams across the organization including Accounting, Tax, Treasury, People Services, Contracts, and Information Security.  Serve as a central point of contact for subject matter specialists within the Legal team on M&A, joint ventures, and other strategic transactions.  Educate and advise internal stakeholders at all levels with respect to legal issues and risk management. Due to the nature of work performed within this facility, U.S. citizenship is required.

Basic Qualifications:

  • 3+ years of experience with sophisticated M&A, joint ventures, and other strategic transactions throughout the full transaction life cycle
  • Experience in a top-tier law firm and in-house legal department of a public or large private company
  • Ability to provide practical advice to legal and business colleagues
  • Ability to work independently and efficiently in a fast-paced environment with competing demands
  • JD degree
  • Active bar membership

Additional Qualifications:

  • Experience with advising on M&A, joint ventures, and other strategic transactions specifically involving government contractors preferred
  • Possession of superior legal and analytical expertise and business-oriented approach to problem solving
  • Possession of excellent organizational, interpersonal, and analytical skills
  • Possession of excellent oral and written communication skills
